By registering for, accessing, or using the APASS Credential Service, APASS Verification Service, or APASS Token ("Services"), you ("Member", "User", or "you") agree to be bound by this Agreement with FirstKYC Pte. Ltd. ("FirstKYC", "we", "us", or "our"). If you do not agree, do not use the Services.

1. Definitions

• Member: Individual or corporate entity registered on APASS.
• Subject: A Member whose APASS Tier or data is being queried.
• APASS Credential: The digital credential ("APASS") generated for a Member, reflecting their Tier.
• Tier: One of multiple levels (e.g., Bronze, Silver, Gold) assigned by our in-house rules engine based on completeness and quality of Member data.
• Requestor: A Member who submits an APASS Verification Request for a Subject's APASS Tier or other shared data.
• APASS Verification Request ("Query"): A request submitted by a Requestor to obtain a Subject's APASS Tier and any additional data the Subject elects to share.
• Package: Monthly subscription plan (Standard, Professional, Enterprise) with associated Query Fee rates.
• Subscription Fee: Monthly fee for a Package:
  • Standard: USD 199
  • Professional: USD 499
  • Enterprise: USD 699
• Query Fee: Fee per APASS Verification Request under each Package:
  • Standard: USD 1.20
  • Professional: USD 0.90
  • Enterprise: USD 0.65
• APASS Token: FirstKYC's utility token used to pay Subscription Fees and Query Fees.

2. Services Overview

1. APASS Credential Service: Members submit personal or corporate data in the APASS mobile app to obtain an APASS Credential with a Tier assigned by our rules engine.
2. APASS Verification Service: Requestors submit Queries and pay the applicable Query Fee to obtain a Subject's APASS Tier and any additional data the Subject has authorized for sharing.
3. Notifications & Consent: Upon a Query, the Subject receives an in-app and/or email notification. Disclosure occurs only if the Subject explicitly authorizes the requested data share.

3. Subscription & Package Terms

1. Subscription Activation: To use the Verification Service, you must subscribe to one of the three Packages and pay the Subscription Fee in advance.
2. Package Benefits: Each Package entitles you to reduced Query Fees as specified in Section 1.
3. Renewal & Expiry: Subscriptions recur monthly and expire at period end. You may renew by manually re-subscribing; no automatic renewal occurs.

4. Fees, Payment & Token Use

1. Payment Methods: You may pay Subscription Fees and Query Fees via credit card, bank transfer, stablecoins (e.g., USDC), or APASS Token.
2. APASS Token Redemption: APASS Tokens may be used at a 1:1 USD rate to settle Subscription or Query Fees, subject to token balance. Unused Tokens remain in your account wallet.
3. No Storage of Card Data: We do not store full credit/debit card details. Token and crypto payments are processed via integrated wallet providers.

5. Member and Subject Obligations

1. Accuracy: You warrant that all information you submit is true, complete, and up to date.
2. Compliance: You will comply with all applicable laws, including data-protection and anti-money laundering regulations.
3. No Unauthorized Use: You shall not use Services to conduct unlawful activities, harass other Members, or breach any person’s privacy rights.

6. Data Privacy & Security

1. PDPA Compliance: We collect, process, and store personal data in accordance with Singapore’s Personal Data Protection Act (PDPA) and our Privacy Policy.
2. Data Minimization: Only data necessary to generate APASS Credentials or fulfill authorized Queries is collected.
3. Security Measures: We employ industry-standard technical and organizational safeguards (e.g., encryption, access controls) to protect your data.

7. Intellectual Property

All intellectual property rights in the Services, APASS Token, mobile app, website, and associated materials belong to FirstKYC or our licensors. Members receive only a limited, non-exclusive license to use the Services.

8. Confidentiality

Each party shall keep the other’s Confidential Information strictly confidential and not disclose it except as necessary to provide or use the Services or as required by law.

9. Disclaimers & Limitations of Liability

1. As-Is Basis: Services and APASS Tokens are provided “as is” without warranties of any kind.
2. No Liability for Third-Party Data: FirstKYC is not responsible for errors in data sources or failures by third-party providers.
3. Liability Cap: FirstKYC’s total liability for direct damages shall not exceed the total Subscription Fees paid by you in the three (3) months prior to the event.
4. Exclusion of Indirect Damages: FirstKYC is not liable for any indirect, incidental, consequential, or punitive damages.

10. Indemnification

You agree to defend, indemnify, and hold harmless FirstKYC and its officers, directors, employees, and agents from any claims, losses, damages, or expenses arising out of your breach of this Agreement or misuse of the Services.

11. Termination

1. By You: Cease use of Services; your subscription will lapse at period end.
2. By FirstKYC: We may suspend or terminate access for violation of these terms or unlawful activity, with or without notice.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Singapore. Any dispute shall be resolved by arbitration at the Singapore International Arbitration Centre (SIAC) or by Singapore courts at FirstKYC’s election.

13. Amendments

We may amend this Agreement at any time by posting changes on the APASS app or website. Continued use after notification constitutes acceptance of the updated terms.
