These Business Terms and Conditions ("Terms") govern the provision of identity verification, AML, and related services ("Services") by Firstkyc Pte. Ltd. ("FirstKYC", "we", "us", "our") to business customers ("Business", "you"). By creating a Business Account or executing an Order Form, you agree to these Terms.

2. Definitions

• Authorised Business User: employee or contractor of the Business permitted to use the Services on its behalf.
• Business Account: the account through which you access the FirstKYC Platform.
• Dashboard: the web interface for requesting and reviewing verification results.
• Dashboard Data: all data, Certificates, KYC Profiles, and reports accessible via the Dashboard.
• Certificate: a document recording the results of a Verification.
• KYC Services: identity-document verification, facial recognition, AML screening, proof-of-address and related checks provided via the FirstKYC Platform.
• Verification: the automated or manual assessment of user-submitted data resulting in a Certificate.
• Verification Fee: the fee payable per Verification as set out in the Order Form or pricing schedule.
• Order Form: the form or online acceptance process that specifies the scope, fees, and term of Services.
• Enterprise Services: bespoke integration, premium support, or managed-service offerings agreed via an Order Form.
• Personal Data: any information about an identifiable individual, as defined under PDPA.

3. Scope of Services

1. Provision of KYC Services. FirstKYC will host and operate the Platform for you to submit user data and receive Certificates.
2. Access Period & Validity. Certificates are valid for three (3) months from issue. You may access Dashboard Data within thirty (30) days of each Verification unless you purchase extended storage.
3. Enterprise Services. If you subscribe to Enterprise Services, we will provide additional features, SLA commitments, or managed reviews as described in the applicable Order Form.

4. Business Obligations

1. Integration & Configuration. You shall integrate the Platform per our technical documentation and maintain up-to-date settings.
2. Accuracy of Data. You warrant that all user data you submit is accurate and that you have obtained necessary consents for processing.
3. Compliance. You remain solely responsible for compliance with all applicable laws, including AML and data-protection regulations.
4. Security. You shall protect Dashboard credentials, enable two-factor authentication, and implement internal controls to prevent unauthorized access.

5. Fees and Payment

1. Verification Fees. Charged per Certificate at the rates in your Order Form.
2. Additional Charges. Re-verifications, extended data storage, or Enterprise Services are subject to additional fees.
3. Invoicing & Payment. Fees are invoiced monthly in arrears and payable within fifteen (15) days. Payments processed via PCI-compliant payment processor; FirstKYC does not store full card details.
4. Late Payment. Overdue amounts accrue interest at 1.5% per month. We may suspend Services for unpaid invoices.

6. Data Protection & Privacy

1. PDPA Compliance. Both parties act as independent data controllers for Personal Data collected and processed under these Terms, unless otherwise agreed.
2. Processor Role. For Enterprise Services where we act as a data processor, we will process Personal Data per your written instructions and PDPA requirements.
3. Security Measures. We implement technical and organizational measures to protect Personal Data in transit and at rest.
4. Breach Notification. Each party shall notify the other of any Personal Data breach within twenty-four (24) hours of becoming aware.

7. Intellectual Property

1. FirstKYC IP. We own all rights in the Platform, Certificates, software, and trademarks. We grant you a limited license to use them solely to receive Services.
2. Business IP. You grant us a perpetual, royalty-free license to use your logos and materials to perform the Services.

8. Confidentiality

1. Definition. "Confidential Information" includes non-public business, technical, or financial information disclosed under these Terms.
2. Obligations. Each party shall protect the other's Confidential Information with at least the same care as its own and not disclose it except to authorized personnel or as required by law.

9. Warranties & Disclaimers

1. Mutual Warranties. Each party has the right to enter into these Terms and will comply with applicable laws.
2. FirstKYC Disclaimer. Services are provided "as is." We do not guarantee uninterrupted service or error-free operation.
3. Third-Party Data. We are not liable for inaccuracies in third-party data or verification services beyond our control.

10. Limitation of Liability

1. Cap. Our aggregate liability for direct damages shall not exceed the total fees paid by you in the six (6) months before the event giving rise to the claim.
2. Exclusions. We exclude liability for indirect, incidental, consequential, or punitive damages, except in cases of gross negligence or willful misconduct.

11. Indemnification

You shall indemnify and hold harmless FirstKYC and its officers from any Losses arising from your breach of these Terms, misuse of the Services, or violation of applicable law.

12. Suspension & Termination

1. Suspension. We may suspend access for non-payment, security threats, or suspected unlawful use, with notice where feasible.
2. Termination for Cause. Either party may terminate for material breach if not cured within thirty (30) days of written notice.
3. Effect of Termination. Upon termination, you must cease using the Services, and we may delete Dashboard Data following thirty (30) days' notice.

13. Force Majeure

Neither party is liable for delays caused by events beyond its reasonable control. If a force majeure event persists for more than ninety (90) days, either party may terminate these Terms on written notice.

14. Governing Law & Dispute Resolution

These Terms are governed by Singapore law. Disputes shall be resolved by arbitration in Singapore under SIAC rules or by courts in Singapore, at FirstKYC's discretion.

15. Notices

Notices shall be in writing and delivered by email or registered mail to the addresses in the Order Form or Business Account.

16. General Provisions

1. Assignment. You may not assign these Terms without our consent; we may assign to an affiliate.
2. Amendments. We may update these Terms by posting changes; continued use constitutes acceptance.
3. Severability. Invalid provisions will be severed, and the remainder will remain in force.
4. Entire Agreement. These Terms and the Order Form constitute the entire agreement.
