Please read this Terms of Service ("ToS" or "Agreement") carefully. By accessing, registering for, or using the FirstKYC digital identity and verification platform, website, or mobile application (collectively, "Services"), you ("User", "you" or "your") agree to be bound by this Agreement with FirstKYC Pte. Ltd. ("FirstKYC", "we", "us", or "our"). If you do not agree, do not use the Services.

2. License Grant

1. Scope. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services on devices you own or control, solely to perform identity and AML verification for yourself or your authorised business.
2. Restrictions. You may not:
   1. Copy, modify, distribute, sublicense, reverse-engineer or tamper with the Services;
   2. Remove or alter any proprietary notices;
   3. Use the Services in violation of any applicable law or regulation.

3. User Eligibility & Accounts

1. Individual Users. You must be at least 18 years old with legal capacity.
2. Business Users. If acting on behalf of a business, you warrant that you are authorised to bind that entity and submit accurate information.
3. Registration Data. You agree to provide and maintain complete, accurate, and current information during registration and thereafter.

4. Data Collection & Privacy

1. Personal Data. To perform KYC/AML checks, we collect and process personal data (including identity documents, financial data, and verification results).
2. PDPA Compliance. We handle personal data in accordance with the Personal Data Protection Act 2012 (PDPA) and our Privacy Policy.
3. Third-Party Providers. We partner with regulated third parties to perform verifications. You consent to sharing necessary data with those providers, including cross-border transfers when required.
4. Authority. By submitting data about others (e.g., controllers, directors), you confirm you have their consent.

5. Fees & Payment

1. Service Fees. Fees for verification services or subscriptions are displayed on the Services.
2. Payment Processing. All payments are processed via PCI-compliant third-party processors. FirstKYC does not store your full card details.
3. User Responsibility. You are responsible for any third-party fees, chargebacks, or disputes arising from payments.

6. Use of Services & User Obligations

1. Proper Use. You must not use the Services for unlawful purposes or to facilitate fraud, identity theft, or other misconduct.
2. Security. You are responsible for safeguarding your account credentials and promptly notifying us of any unauthorised access.
3. Cooperation. You agree to cooperate with ongoing AML monitoring and provide updated documents upon request.

8. Disclaimers

1. As Is. Services are provided "as is" and "as available" without warranty of any kind.
2. No Guarantee. We do not guarantee accuracy, timeliness, or fitness for a particular purpose of verification results.
3. No Liability for Third Parties. We are not liable for acts or omissions of third-party verification providers.

9. Limitation of Liability

1. Exclusion of Damages. To the fullest extent permitted by law, FirstKYC is not liable for indirect, incidental, special, or consequential damages arising from your use of the Services.
2. Cap on Liability. Our aggregate liability for direct damages shall not exceed the total fees you paid in the six (6) months preceding the event giving rise to the claim.
3. Non-Excludable Liability. Nothing limits liability for death or personal injury caused by our negligence, fraud, or other liability that cannot be excluded under Singapore law.

10. Acceptable Use Restrictions

You must not:

• Insert malicious code or viruses;
• Scrape, cache, or harvest data without permission;
• Interfere with the operation of Services or other users' access;
• Transmit defamatory, obscene, or unlawful content.

11. Modifications

We may update or modify this ToS at any time by posting the new version on the Services. Significant changes will be notified by email or in-app notice. Continued use implies consent to the updated ToS.

12. Service Updates & Maintenance

We may deploy updates for security, compliance, or feature enhancements. You agree that we may deliver such updates automatically.

13. Data Retention & Archiving

1. Retention. We retain your personal data to fulfill our legal and contractual obligations.
2. Archiving. Inactive data may be archived or deleted in accordance with our data retention policy. Users can request data deletion per the PDPA.

14. Termination

1. By FirstKYC. We may suspend or terminate your access for violation of this ToS or for any reason at our discretion.
2. By You. You may terminate by ceasing use and deleting your account. Termination does not relieve you of outstanding obligations.
3. Effect. Upon termination, all rights and licenses granted to you cease immediately.

15. Governing Law & Dispute Resolution

This Agreement is governed by Singapore law. Any disputes shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules, or by courts in Singapore at our election.

16. No Third-Party Rights

A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act to enforce any provision of this ToS.

17. Miscellaneous

1. Severability. If any provision is invalid, the remainder shall remain in force.
2. Assignment. We may assign our rights but you may not transfer your rights without our consent.
3. Entire Agreement. This ToS, together with our Privacy Policy, constitutes the entire agreement between you and FirstKYC concerning the Services.
